Israeli insurance software provider Sapiens to be bought by US firm for $2.5b

Israeli financial software company Sapiens has announced its agreement to be acquired by United States-based private equity firm Advent International for $2.5 billion in an all-cash deal. Sapiens shareholders will receive a significant premium for their shares, and the company will transition to private ownership, delisting from both the Nasdaq and Tel Aviv Stock Exchange.

Sapiens, founded in 1982, specializes in artificial intelligence-driven software solutions for insurance companies, aiming to streamline operations and boost efficiency. The company serves 600 clients across 30 countries and employs approximately 5,000 people, with 800 based in Israel. Advent International plans to invest further in technology innovation and customer-focused solutions following the acquisition.

Formula Systems, an information technology holding company, will retain a minority stake in Sapiens. The deal is expected to close by the first quarter of 2026, pending shareholder and regulatory approvals. This acquisition comes as the insurance technology sector experiences rapid growth and increased investment worldwide.
